These terms ("Terms") govern your use of Equimore Signal, including the public benchmark explorer and the Bid Studio (together, the "Service"), operated by Equimore ("Equimore", "we", "us"). By accessing the Service or creating an account, you agree to these Terms. If you use the Service for or on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" includes that organisation.
If you do not agree to these Terms, do not use the Service.
"Figures" means any number, score, rank, band, estimate or indicator that the Service generates or displays (including cost of attendance, city access, carbon, local strength and similar).
"Shared Page" means any co-branded comparison, bid page or output you generate using the Bid Studio and make available to a third party.
"Organiser" means any event organiser, authority, sponsor or other recipient to whom you provide a Shared Page or any Figure.
"Third-Party Sources" means the external data inputs we model from, including hotel and flight pricing providers, carbon factors, public statistics and similar sources.
Signal is an independent benchmark for event destinations. Figures are estimates and opinions, derived from Third-Party Sources and our own models and weighted by representative assumptions. They are indicative only. They are not statements of fact, guarantees, audited figures, or warranties of any outcome. Actual prices, travel times, emissions and outcomes will vary, sometimes materially.
We publish our methodology and cite our sources. We do not warrant that any Figure is accurate, complete, current, or fit for any particular purpose or decision. The Service is not legal, financial, investment, tax, procurement or other professional advice. Any decision you take using the Service is your own, and you are responsible for obtaining your own independent verification and advice before acting.
No city, venue, destination or organiser pays Equimore to publish, raise, lower or alter any ranking or Figure. Independence is a statement about how we are funded. It does not make any Figure infallible, and section 2 still applies in full.
The Service incorporates data from Third-Party Sources. Those sources are not controlled by us and may be incomplete, delayed or inaccurate. We are not responsible for errors, omissions or changes in Third-Party Sources, and your use of any Figure derived from them is subject to this section and sections 2, 7 and 8. You may not extract, redistribute or use the underlying Third-Party Source data except as it appears in our outputs and as permitted by these Terms.

Where you generate a Shared Page, you must keep the Equimore independence statement, attribution, and the estimate disclaimer intact and visible on that page.
You are responsible for any text or material you add, edit or upload (for example, bid copy), and for how you present, frame and share any Figure or Shared Page. You warrant that material you publish is accurate and not misleading, and that you hold all rights to any logo, brand or content you upload.
Indemnity. To the fullest extent permitted by law, you will indemnify and hold harmless Equimore and its officers, employees and contractors from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) any content you add, edit, upload or publish; (c) any breach of these Terms by you; or (d) any misrepresentation, distortion or unauthorised use of a Figure or Shared Page by you or by any Organiser or third party to whom you provide it. You will control the defence and settlement of any such claim, except that you will not settle in any way that imposes a non-indemnified obligation on Equimore without our prior written consent, and we may participate with our own counsel at our own cost.
To the fullest extent permitted by law, the Service and all Figures are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of accuracy, completeness, satisfactory quality, fitness for a particular purpose, title or non-infringement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
Subject to that, and to the fullest extent permitted by law:
You acknowledge that the Figures are provided on the basis of these limitations, that the fees (where any) reflect this allocation of risk, and that you are responsible for verifying any Figure before relying on it.
Equimore owns, or is licensed to use, the Signal benchmark, the Figures, all data compilations, the methodology, and the Service, including all intellectual property rights in them. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service and its outputs for your own internal bidding and analysis while your access is active. You acquire no other rights. Equimore's name, logo and verification marks remain ours, and you must keep our attribution and verification marks on any Shared Page.
Any feedback you give us about the Service may be used by us without restriction or obligation to you.
Bid Studio access is currently by invitation. You are responsible for your account credentials and for all activity under your account. We may suspend, restrict or end your access for breach of these Terms, suspected misuse, or where we reasonably consider it necessary to protect the Service, other users or Equimore.
Some features may be offered on a paid basis. Where you purchase a paid plan or sign a separate order form, subscription agreement or data processing agreement with us, the terms of that document govern that paid access and prevail over these Terms to the extent of any conflict. These Terms continue to apply to the free explorer and to any use not covered by a separate agreement.
We process limited personal data you provide (such as name, email, organisation, city and venue) to operate the Service, manage access, and communicate with you about it. We do not sell personal data. Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. Where the EU or UK General Data Protection Regulation applies to our processing of your personal data, the Privacy Policy sets out the lawful basis, your rights, and how to exercise them, including rights of access and deletion. You can contact us using the details in section 18.
Except for Equimore's officers, employees and contractors under the indemnity in section 6, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore (or any equivalent law) to enforce any of these Terms. For the avoidance of doubt, no Organiser or other recipient of a Figure or Shared Page acquires any right of reliance against Equimore.
We may update these Terms as the Service develops. We will notify material changes in-product or by email. Your continued use of the Service after a change takes effect means you accept the updated Terms.
You may stop using the Service at any time. We may suspend or terminate your access as described in section 10. Sections 2 to 9, 13, and 16 to 18, and any provision that by its nature should survive, will survive termination.
These Terms, together with the Privacy Policy and any separate agreement under section 11, are the entire agreement between you and Equimore about the Service, and supersede any prior understanding on the subject. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a reorganisation or sale of the business. Nothing in these Terms creates a partnership, agency or employment relationship.
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you have in your country of residence that cannot be excluded by agreement.
